The NAMI Missouri Governance Committee Has proposed a series of changes to update the organization’s bylaws. these changes have been approved by the Board of Directors to be voted on by all members.

Summary of Proposed 2019 Bylaws Amendments Summary
Preamble: To update language that does not change the intent of the preamble and to ensure language matches that used by NAMI.
Article I – Membership: To update language that does not change the intent of the article, to clarify that NAMI (the national organization) sets dues, to update the number and types of memberships available, to include reference to the new affiliation process, to update the description of an affiliate in good standing, to remove the 60-day window for affiliation or re-affiliation application approval to ensure compliance with the new affiliation and re-affiliation processes, and to include the new guidelines for affiliate naming conventions.
Article II – Finance: No proposed amendments
Article III – Membership Meetings: To update language that does not change the intent of the article, to update the annual meeting month requirement, to clarify notice must be sent to members, to replace references to “I/FM members” with “members,” to include council representatives in the list of positions for which members may vote, to change the name of the “Bylaws and Resolutions Committee” to the “Governance Committee,” and to clarify that proposed bylaws amendments must be sent to members and not just to affiliate leaders.
Article IV – Board of Directors: To update language that does not change the intent of the article, to remove the automatic status of the Chair of the Nominating Committee as a full voting member of the board, to replace the term “the mentally ill” with “individuals living with mental illness,” to remove the phrase “or until their successors shall be duly qualified and elected” from language specifying board member term length, to require all members receive notice of the slate of nominees and not just the affiliates, to remove the bonding requirement for NAMI staff, and to add the option for additional meetings of the Board of Directors.
Article V – Officers: To update language that does not change the intent of the article, to remove the automatic status of the Chair of the Nominating Committee as a full voting member of the board, to change “immediately preceding” to “prior to” as a board officer membership requirement, to remove the requirement that the board president forward NAMI Missouri’s annual report to NAMI, to remove the requirement that the board treasurer receive and record dues and disbursements, verify membership and be bonded, and to ensure that members of the Board of Directors are active members in NAMI Missouri.
Article VI – Standing and Special Committees: To update language that does not change the intent of the article, to formally change the name of the “Bylaws and Resolutions Committee” to the “Governance Committee,” to include the description of the Nominating Committee as duties are described in Article IV.
Article VII – Executive Director: To change the reference to board “chairman” to “president.”
Article VIII – Missouri Representative to the NAMI Consumer Council: To update language that does not change the intent of the article, to update the name of the council to “Peer Leadership Council” in multiple instances, to replace “immediately preceding” with “prior to,” to clarify that the list of nominees should be sent to all members, and not just to affiliate leaders, and to change the nominating period to 60 days in advance of the annual meeting to match other nomination requirements.
Article IX – Missouri Representative to the NAMI Service Members, Veterans and their Families Council: To update the name of the council from “NAMI Veterans and Military Council” to “NAMI Service Members, Veterans and their Families Council,” and to update the description and requirements to match those of the Peer Leadership Council.
Article X – Use of NAMI Name and Logo: To remove the line regarding NAMI affiliate naming conventions, as it is redundant and already included in Article I.
Article XI – Nondiscrimination: To replace “handicap” with “ability,” and remove “creed.”
Article XII – Dispute Resolution: An amendment is proposed to clarify the dispute resolution process, which may be initiated by affiliate representatives for affiliates that no longer have boards.
Article XIII – Adoption, Revision or Amendment of By-laws: To update language that does not change the intent of the article and update the name of the Governance Committee.
Article XIV – Non-for profit Corporation Law: To simplify the language (remove “the internal affairs”)
Article XIV – Parliamentary Authority: No amendments
